DawaFill Terms of Service
Version 1.0 · Effective 22 August 2026
These Terms govern access to and use of DawaFill. By creating an account, starting a trial, purchasing a subscription, accepting an updated version, or using the platform, you agree to these Terms on your own behalf and, where applicable, on behalf of the pharmacy, medical centre, company or other organization you represent.
1. Authority and account registration
If you register an organization, you confirm that you are authorized to bind that organization to these Terms. Registration information must be accurate and kept current. DawaFill may reject, suspend or close accounts created using false, misleading or unauthorized information.
2. DawaFill is a technology platform
DawaFill provides software for chronic-care continuity, refill coordination, patient engagement, inventory planning, delivery workflows, communications, reporting and related operations. DawaFill is not a pharmacy, hospital, prescriber or medical practitioner and does not diagnose, prescribe, dispense, replace clinical judgment or guarantee a clinical outcome.
3. Organization responsibility
The subscribing organization remains responsible for clinical decisions, prescriptions, dispensing, patient counselling, staff authorization, accuracy of entered data, lawful patient communications, professional obligations and compliance with applicable healthcare, pharmacy, privacy, consumer and communications requirements.
4. Patient and organization data
The organization must have a lawful basis for information it places in DawaFill and must provide applicable notices or obtain required permissions. DawaFill processes data to provide, secure, support and improve the contracted platform. Ownership of the organization's underlying records is not transferred to DawaFill merely because they are processed through the service.
5. Security and acceptable use
Users must protect credentials, use MFA where required, and only access information they are authorized to use. You must not attempt unauthorized access, bypass controls, attack the platform, introduce malicious software, scrape protected data, misuse patient information, send unlawful spam, reverse engineer protected components, or use DawaFill for unlawful activity.
6. Subscriptions, trials and pricing
Feature, user, patient and branch limits depend on the selected package. A trial may require successful payment-method verification and does not create a permanent entitlement to free service. DawaFill may offer founding, promotional, negotiated or Enterprise pricing and may change future-period pricing or packages with appropriate notice.
7. Payments
Subscription charges are payable according to the selected billing cycle. Payments may be processed by approved third-party providers. DawaFill does not intentionally store full card numbers or CVV data. Provider rejection, network failure or processing delay is not necessarily a DawaFill service failure. Paid functionality may be restricted for non-payment after applicable notices or grace periods.
8. SMS, email and third-party services
The organization is responsible for lawful contact permissions and recipient accuracy. Delivery depends on independent networks, email services, gateways and APIs. A status of Sent does not necessarily mean delivery to or reading by the recipient unless confirmed by the relevant provider. DawaFill does not guarantee delivery of every message or uninterrupted availability of third-party integrations.
9. Availability, maintenance and change
DawaFill will use reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation. Maintenance, upgrades, security work, infrastructure incidents, provider outages and circumstances beyond reasonable control may cause interruption. DawaFill may modify features where reasonably necessary for security, legal compliance, compatibility, performance or commercial sustainability.
10. Data accuracy, backups and business continuity
Organizations must review critical information before relying on it for healthcare or business decisions. DawaFill may maintain backups and recovery controls, but organizations remain responsible for appropriate operational continuity, verification of critical records and prompt reporting of material inconsistencies or suspected security incidents.
11. Intellectual property
DawaFill software, branding, interface designs, documentation, workflows and proprietary technology remain the property of DawaFill or its licensors. A subscription grants only a limited, non-exclusive, non-transferable right to use the service during the applicable subscription period. No ownership in DawaFill intellectual property is transferred.
12. Suspension and termination
DawaFill may restrict or suspend service for material breach, non-payment, fraud, suspected fraud, unlawful activity, security risk, serious privacy violations or abuse. Immediate action may be taken where necessary to protect patients, customers, DawaFill, third parties or platform security. Cancellation does not require deletion of information that must lawfully or operationally be retained.
13. No clinical or commercial guarantee
DawaFill does not guarantee medication adherence, successful contact, medication availability, prevention of hospitalization, patient retention, revenue, profit, business growth or any specific clinical or commercial outcome. Forecasts, analytics and reminders are decision-support tools.
14. Limitation of liability
To the maximum extent permitted by applicable law, DawaFill will not be liable for indirect, incidental, special, exemplary or consequential loss, including lost profits, revenue, opportunity or goodwill. Subject to liabilities that cannot lawfully be excluded or limited, DawaFill's aggregate contractual liability arising from the service is limited to the subscription fees actually paid by the affected organization during the six months immediately preceding the event giving rise to the claim.
15. Indemnity
To the extent permitted by law, the organization will indemnify DawaFill against third-party claims and reasonable losses arising from the organization's unlawful use of the service, breach of these Terms, unauthorized patient communications, infringement of third-party rights, unlawful processing of information or actions of its authorized users, except to the extent caused solely by DawaFill's own unlawful conduct.
16. Changes to these Terms
DawaFill may update these Terms. Material changes may require a new affirmative acceptance. The version and effective date displayed on this page identify the terms currently offered by DawaFill.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Uganda. The parties should first attempt in good faith to resolve disputes by written notice and negotiation. Unresolved disputes may be submitted to the competent courts of Uganda unless another lawful dispute-resolution process is agreed in writing.
